IN CONSIDERATION of the sum of £123,456 (One hundred and twenty three thousand four hundred and fifty six pounds) paid to us by:

of: 6 Inther St, MOSTNIGHTS, B4 8OC ('the Transferee')
receipt of which is acknowledged;
1. Transfer the Yacht and the Inventory to the Transferee;
2. The Transferors for themselves and for their heirs covenant with the Transferee and his heirs and assigns that they have powers so to transfer and that the Yacht and the Inventory are free from encumbrances.
3. The Transferee accepts the Yacht and the Inventory in the condition as surveyed and approved by his surveyors on the thirty sixth day of December 2003.
4. The Transferee accepts that no warranty is given by the Transferors nor their heirs as to the condition of the Yacht and the Inventory nor as to the suitability of either for any purpose to which the Transferee or his heirs and assigns may put the Yacht or any constituent item of the Inventory at any time in the future.

Clause #2 is the important bit as it needs to be declared that the boat is sold without encumberance.
Both of the last two new boats we bought (apart from the very last which was bought on unusual terms) had no such "BILL OF SALE" as it isn't likely that a new chunk of GRP is going to be encumbered. FAR more important that you have a VAT receipt to avoid nasty surprises when you try to register her or cross international boundaries.

I thought you only got one with a secondhand boat, but it may depend on the builder. You normally have a 'contract' for a new boat, signed when you order it - months ahead of delivery. On delivery you may get a 'builders certificate'. All I got was a receipt, and I had to ask for that!
Boatbuilders usually provide a "builder's certificate" with a new boat. It should ideally be made out to the purchaser but, in the case of volume production boats, it may be left blank. It acts as the first link in the "title chain" which you need to show for Part 1 registration (and is important even if not part I registered). Each subsequent purchaser should have a bill of sale issued by the previous owner. The RYA form is fine or you can download the MCA form from their website. If you can't find it, PM me and I'll e-mail it to you.
The legal significance of a bill of sale is that it is a conveyance of ownership. An invoice from a dealer/distributor, on the other hand, is merely evidence that a sale (and transfer of ownership) has taken place.
