You don't need to go insolvent to do that. A simple "change of name" would suffice.

Whilst insolvency provides a clearer break, it could also be a sign of greater woes.

Quite - now that the company has gone tits up, no-one is likely to sue for damages (distress, etc...) as there is no money to get.

Still doesn't stop the same management starting out afresh under a new name.

One sometimes wonders if the insolvency is provoke early by the smarter debtor to ensure that damages do not dilute their expectations.

I sometimes think that insolvency or winding up should be postponed if there is a likelyhood of a damages claim. A certain company in New Zealand comes to mind there as well.
