But there's another very important thing to consider.
Paying a price to purchase a Company, so far, meant forking out just a minor fraction of it.
The rest was paid, as you nicely put it previously, by yourself, Deleted User, and the rest of us (including even the employees of the target Company - funny, innit?).
But as it happens, such trick is now suffering serious health problems, to the point that it might not survive in the near future.

Now, back to our initial scenario: you have say 40M€ burning a hole in your pocket, and you're offered those companies worth (on paper) 65M€ at 50% discount. Sounds great, the price is a huge bargain, and you can afford that. Sure, you must fork out 37.5M€, 'cause the a.m. trick doesn't seem to work anymore for some reason, but hey, you'd still have 2.5M€ cash and a couple of companies supposed to be worth 65M€.
So, given a choice between 40M cash and 2.5M plus those companies, WNS?
Sure, it also depends on what there is behind that 65M total consideration, and so forth.
But generally speaking, 'fiuaskme, that's a no brainer these days.
So, I for one am an example where the price alone wouldn't work.
Otoh, in the good old days when I could have paid those Companies the full 65M price forking out less than 10M, I might have reached different conclusions... /forums/images/graemlins/ooo.gif
 
You're absolutely right

It's soooo different from buying, say, a boat on a loan. In that case, you have to pay the bank back and they come after your house if you default. And you have to pay the interest. But borrow 55 to buy a company for 65, and all you risk is your 10. The company itself even pays all the interest on the 55 funding!

At least that's how it was. But as you say, that party is over for now. So I agree with you. On those numbers, I wouldn't bet 37/40ths of my net worth to buy a company in a struggling market even at a (so-called) 25m discount, WITH NO LEVERAGE!

Interesting times eh?
 
Cataldo is one of the shareholders along with Antonelli and I would have put him following NF for this
so may be the Norberto purchase means that the FG might be liquidated again, in 3 parts or something similar to this
interesting to see what happens from here if this rumour is true...

...though also a tad worrying, I'm afraid.

Apropos, as I recall, I crossed swords with tcm in a debate on LBOs, quite some time ago - maybe a couple of years or so.
I'll give the lousy search a try tomorrow, to see if I can find that thread.
I'm sure it would be interesting to read it again now.

PS: with apologies for my previous math - 50% of 65 is rather in the region of 32 (than 37) and a half... /forums/images/graemlins/blush.gif But you saw what I meant, obviously.
